Terms and Conditions of Sale

These General Terms and Conditions of Sale (GTC) govern the contractual relationships between Transcode Limited, company registered under number 16770195, with its registered office at 27 Old Gloucester Street, London, WC1N 3AX, United Kingdom, and its customers (hereinafter "the Client") in the context of the use of services and solutions offered on the website www.transcode-limited.com.

1. Purpose

These GTC aim to define the conditions under which Transcode Limited provides its services, including:

  • Access to the cloud platform (annual, 5-year, 10-year license).
  • Custom development.
  • Purchase and improvement of existing tools.
  • Technical support and training.

2. Services Offered

Transcode Limited offers:

  • Platform access: cloud solution integrating fleet management, real-time tracking, advanced analytics, document management, etc.
  • Licenses:
    • Annual license: access for 1 year.
    • 5-year license: access for 5 years.
    • 10-year license: access for 10 years.
    • Customized solutions: upon quotation according to Client's needs.
  • Development and rental: analysis, improvement and rental of existing tools.
  • Technical support: assistance and personalized training.

3. Order and Acceptance

Any order placed via the website, by email or by telephone implies unreserved acceptance of these GTC. A personalized quotation will be provided to the Client, specifying the services, duration and price. The order is final after signature of the quotation and payment of any deposit.

4. Prices

Prices are indicated in the personalized quotation and may vary according to:

  • The duration of the license (1, 5 or 10 years).
  • The nature of the services (platform access, custom development, etc.).

Prices are exclusive of tax, unless otherwise indicated. Transcode Limited reserves the right to modify its prices, with new prices not applying to current contracts.

5. Payment

Payment is made by bank transfer, credit card or any other means specified in the quotation. Payment terms (deposits, installments) are defined in the contract or quotation. Any late payment will result in late interest at the UK statutory rate, as well as reasonable recovery costs.

6. Service Delivery

  • Platform access: access is provided within 48 working hours after payment validation.
  • Custom development: deadlines are specified in the quotation, depending on project complexity.
  • Technical support: available with guaranteed response time specified in the contract.

7. Client Obligations

The Client undertakes to:

  • Provide accurate and complete information when ordering.
  • Use the platform in accordance with its intended purpose.
  • Comply with legal obligations related to the use of services.

8. Liability

Transcode Limited undertakes to provide services diligently and in accordance with professional standards. However, Transcode Limited cannot be held responsible for:

  • Service interruptions due to force majeure.
  • Indirect damages (e.g., loss of revenue).
  • Non-compliant use of the platform by the Client.

Transcode Limited's liability is limited to the amount paid by the Client for the services concerned.

9. Termination

In case of substantial breach of contractual obligations by either party, the contract may be terminated after written notice and failure of a 30-day remediation period. Licenses are non-refundable in case of early termination by the Client, unless otherwise provided in the contract.

10. Consumer Clients

For Clients who act as consumers (not for commercial purposes), the rights provided by the Consumer Rights Act 2015 apply. These Clients benefit from additional legal protections.

11. Intellectual Property

The tools and software provided by Transcode Limited remain the intellectual property of Transcode Limited. The Client benefits from a non-exclusive, non-transferable right of use for the duration of the contract.

12. Personal Data

The Client's personal data is processed in accordance with the Privacy Policy available on the website and the UK Data Protection Act 2018.

13. Applicable Law and Jurisdiction

These GTC are subject to English law. In case of dispute, the competent courts will be those of England and Wales.

14. Modification of GTC

Transcode Limited reserves the right to modify these GTC. Modifications apply to new orders and contract renewals.
